Terms Of Service Overview

CyberBloom provides business automation and customer engagement solutions. Depending on the plan, product, or service purchased, features may include:

✓ Other digital services, integrations, and features offered by CyberBloom.

Features may vary depending on the customer's subscription, configuration, third-party integrations, and service plan.

2. Eligibility and Account Registration

You must have the legal capacity to enter into a binding agreement to use our services.

Certain CyberBloom services may require you to create an account or provide business and contact information. You agree to:

✓ Provide accurate and current information.
✓ Maintain the confidentiality of your login credentials.
✓ Keep your account information updated.
✓ Take reasonable measures to prevent unauthorized access.
✓ Notify CyberBloom if you become aware of unauthorized use of your account.

You are responsible for activities conducted through your account unless otherwise required by applicable law.

3. Customer Responsibilities

You are responsible for how you configure and use CyberBloom's services and for ensuring that your use complies with laws and regulations applicable to your business.

You agree not to use our services to:

✓ Violate applicable laws or regulations.
✓ Send unlawful, fraudulent, deceptive, or abusive communications.
✓ Distribute spam or unsolicited communications in violation of applicable law.
✓ Infringe intellectual property or privacy rights.
✓ Upload malicious code or attempt to compromise our systems.
✓ Attempt to gain unauthorized access to accounts, systems, or data.
✓ Use CyberBloom to facilitate fraudulent or illegal activity.

You are also responsible for obtaining any notices, permissions, or consents required for communications you send through our services.

4. AI-Enabled Features

Certain CyberBloom services may incorporate artificial intelligence or automated technologies to generate responses, assist with customer interactions, classify information, or automate business processes.

AI-generated responses may occasionally be incomplete, inaccurate, inappropriate, or unsuitable for a particular situation. Customers are responsible for reviewing their configuration and determining whether AI-generated outputs are appropriate for their intended use. CyberBloom does not guarantee that AI-generated content will always be accurate, error-free, or appropriate for every business purpose.

5. SMS, Email and Electronic Communications

CyberBloom services may allow customers to communicate with their own customers or prospects through SMS, email, and other electronic communication channels.

Customers are responsible for obtaining any legally required consent before sending communications and for complying with applicable marketing, privacy, telecommunications, and anti-spam requirements. Recipients must be provided with applicable mechanisms for withdrawing consent or opting out of communications.

CyberBloom may suspend messaging functionality where we reasonably believe the service is being used for spam, abuse, fraud, or unlawful communications.

6. Subscription and Billing

Certain CyberBloom services are offered on a recurring subscription basis.

By purchasing a subscription, you authorize CyberBloom or its payment processor to charge the applicable fees according to the billing cycle disclosed when you purchase the service.

Subscription fees, features, usage allowances, and billing periods may vary depending on the plan selected.

Unless otherwise stated at purchase, subscriptions may continue until canceled.

You are responsible for maintaining accurate billing and payment information.

7. Cancellation and Refunds

You may cancel a recurring subscription according to the cancellation process provided by CyberBloom. Cancellation generally prevents future renewal charges but does not automatically entitle you to a refund for amounts already paid.

Any refund eligibility will be determined according to the applicable refund or cancellation terms presented at purchase and applicable law.

8. Third-Party Services and Integrations

CyberBloom may integrate with or rely upon third-party platforms, software providers, communication networks, payment processors, artificial intelligence providers, hosting services, and other technology providers.

Your use of certain third-party services may also be subject to the terms and privacy policies of those providers.

CyberBloom does not control third-party platforms and cannot guarantee that third-party services will remain continuously available, error-free, or unchanged.

Features dependent upon third-party providers may be modified, interrupted, or discontinued if the underlying provider changes or restricts its services.

9. Intellectual Property

CyberBloom and its licensors retain ownership of CyberBloom's website, branding, software, designs, workflows, documentation, content, and other intellectual property provided as part of the services, except where otherwise agreed in writing. Customers retain ownership of their own business information, customer information, content, trademarks, and other materials they provide to CyberBloom.

Nothing in these Terms transfers ownership of either party's intellectual property except where expressly agreed in writing.

10. Customer Data

Customers retain their rights in data they submit to CyberBloom.

You grant CyberBloom the limited rights necessary to host, process, transmit, and otherwise use such data to provide, maintain, secure, and improve the services.

Our collection and handling of personal information is further described in our Privacy Policy.

11. Service Availability

We work to maintain reliable services, but we do not guarantee uninterrupted or error-free operation.Services may occasionally become unavailable because of:

✓ Maintenance or upgrades.
✓ Internet or telecommunications failures.
✓ Third-party provider outages.
✓ Software or infrastructure failures.
✓ Security incidents.
✓ Events outside CyberBloom's reasonable control.

We may modify, update, replace, or discontinue features where reasonably necessary.

12. No Guarantee of Business Results

CyberBloom provides technology designed to help businesses improve customer engagement and automate certain processes. However, we do not guarantee any particular number of leads, appointments, customers, sales, revenue, conversion rates, or other business results.

Results depend on numerous factors outside CyberBloom's control, including the customer's business, market, pricing, reputation, advertising, customer demand, implementation, and use of the services.

13. Suspension and Termination

CyberBloom may suspend or terminate access to the services where reasonably necessary, including for:

✓ Nonpayment of fees.
✓ Material violation of these Terms.
✓ Fraudulent or unlawful activity.
✓ Abuse of our services.
✓ Security threats.
✓ Conduct that could harm CyberBloom, our infrastructure, third-party providers, or other users.

Customers may discontinue their use of CyberBloom according to the applicable cancellation terms.

14. Disclaimer of Warranties

To the extent permitted by applicable law, CyberBloom's services are provided on an “as is” and “as available” basis.

We do not warrant that the services will always be uninterrupted, error-free, completely secure, or suitable for every customer's particular business requirements.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

15. Limitation of Liability

To the maximum extent permitted by applicable law, CyberBloom will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the use or inability to use the services. This may include loss of profits, revenue, business opportunities, goodwill, or data where such limitations are legally permitted. Any limitations in these Terms apply only to the extent permitted by applicable law.

16. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold CyberBloom harmless from third-party claims, damages, liabilities, costs, and expenses arising from your unlawful use of the services, violation of these Terms, infringement of third-party rights, or communications sent through your CyberBloom account.

17. Privacy

Your use of CyberBloom is also subject to our Privacy Policy, which explains how we collect, use, disclose, and protect personal information.

18. Changes to These Terms

We may update these Terms periodically to reflect changes to our services, business practices, legal requirements, or technology. When material changes are made, we may update the “Last Updated” date and provide additional notice where required by applicable law. Your continued use of the services following an update constitutes acceptance of the revised Terms to the extent permitted by law.

19. Setup & Activation

Your first monthly subscription payment is charged at signup. CyberBloom will then configure and personalize your system based on your selected plan and the information provided during onboarding.

Most accounts are ready to launch within 1–3 business days after all required onboarding information is received. Delays in providing required information, access, or approvals may extend the setup period.

Your subscription renews monthly from your original billing date unless canceled in accordance with our cancellation terms.

20. Governing Law

These Terms will be governed by and interpreted according to the laws of the State of Illinois, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

21. Entire Agreement

These Terms, together with any applicable order form, subscription terms, Privacy Policy, and other agreements expressly incorporated by reference, constitute the agreement between you and CyberBloom concerning your use of the services and supersede prior agreements concerning the same subject matter.
